The Supervisory Board of Bank Saint Petersburg approved a new edition of the Dividend Policy and recommendations to the Annual General Meeting of Shareholders

 

On March 20, 2024, a regular meeting of the Supervisory Board of Bank St. Petersburg was held.

The Bank's Supervisory Board decided to approve the new edition of the Dividend Policy. The updated document reflects corporate governance best practices, as well as changes that have occurred since the approval of the previous version of the Dividend Policy (of November 2018).

The new edition of the Dividend Policy confirms the Bank’s intention to distribute excess capital to shareholders and includes a change in the target share of the net profit of the reporting year under IFRS allocated for the payment of dividends from “at least 20%” to “from 20% to 50%”.

In accordance with best practices, the new edition of the Dividend Policy reflects the possibility of paying interim dividends, contains a transparent and understandable mechanism for calculating the amount of dividends based on the results of the reporting year, subject to the payment of interim dividends, as well as the conditions for revising the Dividend Policy.

In addition, the Supervisory Board approved recommendations to the Annual General Meeting of Shareholders.

The Annual General Meeting of Shareholders (AGM) of Bank Saint Petersburg will be held on April 25, 2024 in the format of absentee voting. AGM cut-off date is April 1, 2024.

The Bank's Supervisory Board recommended that the AGM determine the aggregate amount of dividends based on the results of 2023 on ordinary shares in the amount of 40% of net profit according to the audited consolidated financial statements under IFRS for 2023.

The total dividend amount based on payout ratio of 40% is RUB 42.45 per 1 ordinary share. Thus, taking into account the interim dividends paid for the results of the first half of 2023 in the amount of RUB 19.08, the AGM recommended paying dividends for the results of 2023 in cash in the amount of RUB 23.37 per 1 ordinary share. 

For preferred shares, the Supervisory Board recommended paying dividends based on the results of 2023 in an amount not lower than that established by the Bank’s Charter (11% of the nominal value), namely RUB 0.22 per 1 preferred share. Taking into account dividends paid for the first half of 2023 in the amount of RUB 0.22 per 1 preferred share, the total dividend amount based on the results of 2023 is RUB 0.44 per 1 preferred share.

Dividend cut-off date is May 6, 2024.
